The safest & best opportunity to make money I know

On 24th Dec 2012 the controlling shareholders announced that they wanted to buy up all the outstanding shares of TWS and TWSP that they did not own, at Rm 9.30 and Rm 4.03 per share respectively.
On 12th Oct I wrote an article “The most undervalued stocks I know” which was posted on Malaysia Finance Blogspot and KC Lau wewbsite when TWS’s price was Rm 6.40 and TWSP was Rm 4.00. TWS and TWSP closed at Rm 9.07 and Rm 4.06 respectively. Those who bought TWS should be laughing but those who bought TWSP are disappointed because the prospect seems so hopeless.
Since the announcement of take over, I have bought up most of the shares traded. In my opinion, I have never felt safer and better in making money before than now in buying TWSP at Rm 4.06 per share because your potential lost is limited to 3 cents per share if they actually have the right to force you to sell at Rm 4.03. But the potential gain can be a few Ringgit per share.
Although according to the takeover & merger code, the controlling shareholders can force you to sell at the offered price if they have acquired more than 90% of the total issued shares. But under the same code, any dissenting shareholder can protest and the civil court will have to hear the complaint and pass a fair judgement.
In March 2012 an analyst from UOB KH wrote an article on TWSP when its share price was Rm 4,80. He had a target price of Rm 7.20. In his opinion the RNAV of TWSP was Rm 19.56 per share and CAGR for FFB production is about 13% for the next 3 years because most of their palms are young. The industry average is between 5-8%.
Although they have sent out the official offer to buy up TWS on 14th Jan, they have not sent out the official offer to buy up TWSP. I think they could not find an independent adviser to support their offer. I also think it is most likely that they will raise the offer price to about half of the RNAV ie about Rm 10.
I believe this is the safest and best opportunity to own TWSP to make money because the downside is so small while the potential gain is so great.
I am obliged to tell you that my holding of TWSP forms a significant part of my share investment portfolio.

As per announcement published in Bursa today:
The abbreviations used in this announcement are consistent with the Circular to Shareholders of the Company dated 5 June 2012 ("Circular").
The Company wishes to bring the shareholders' attention to item 9, paragraph 4 on page 19 of the Circular, which is reproduced as below:
"However, the Board has no intention to maintain the listing status of KrisAssets. KrisAssets will be voluntarily wound-up upon completion of the Proposed Distribution, and accordingly be de-listed by Bursa Securities pursuant to paragraph 16.11(2)(c) of the Listing Requirements and the shareholders of KrisAssets will then hold unlisted shares in the Company until the completion of the winding-up process and be entitled to cash distribution resulting from the recoverability of the remaining assets (net of liabilities), if any, on a pro-rata basis."
The Company also wishes to highlight that the Proposed Distribution will be completed following the cash distribution to be payable on 6 February 2013 to the entitled shareholders of KrisAssets which was announced on 3 January 2013.
The Board of KrisAssets hereby informs that an extraordinary general meeting will be convened by end May 2013, to seek the approval of the shareholders to wind-up KrisAssets ("Proposed Members' Voluntary Winding-Up") and to appoint liquidators to facilitate the liquidation process.
Based on the unaudited consolidated financial statement of KrisAssets as at 30 September 2012, the proforma net tangible assets of the Company is RM0.03 after taking into consideration the following events:
(i) the Distribution-In-Specie of 2,729,913,887 IGB REIT units on 19 October 2012;
(ii) the interim single tier dividend of 28.8 sen per share paid on 28 December 2012; and
(iii) the cash distribution of RM2.60 per share, to be paid on 6 February 2013.
The net realisable value cannot be determined at this juncture. The final distributable amount after the Proposed Members' Voluntary Winding-Up is subject to the actual proceeds to be received by the liquidators after full settlement of liabilities and realisation of assets.
The Company is not aware of any factor which may have contributed to the high trading volume and current share price of KrisAssets.

frm i3 blogger-kcchongnz-my personal opinion, yes, TDM is definitely a hidden gem. Its ttm EPS is 50 sen, which means at 3.37, its PE is just 6.8. For me a more relevant metric is enterprise value over its ebit which is just at 4.3. I doubt any plantation company is that cheap. It has 146m excess cash in its balance sheet, unlike some other company like TSH, Jayatiasa, RSawit etc which have huge debts but all highly recommended by analysts and many others in i3 forums. Same as the cash flows. Many plantation companies mentioned here are with no or little free cash flows. TDM has heaps of FCF every year. Its FCF has been consistent at 12% its enterprise value. It is abundant.

On fighting the major shareholders, the last time Glenealy shareholders did the same thing and went to court. Led by activist shareholder from SG.
In the end the offer is better only by a bit (extra dividend payment) and the went through.
Nothing much minorities can do.
